By accessing or using the Sentia+ platform at sentia.plus (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Sentia+ is an AI-powered business operations platform that provides contact management, pipeline tracking, task management, communications, and intelligent automation features. The Service is provided on an "as is" and "as available" basis.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights

5. Your Data

You retain ownership of all data you input into the Service ("Your Data"). By using the Service, you grant us a limited licence to use, process, and store Your Data solely to provide and improve the Service.

• We will not sell Your Data to third parties
• We will not use Your Data to train AI models
• You can export or delete Your Data at any time
• Our handling of Your Data is governed by our Privacy Policy

6. AI-Powered Features

The Service includes AI-powered features that generate suggestions, summaries, and other outputs. You acknowledge that:

• AI outputs may not always be accurate, complete, or up to date
• You are responsible for reviewing and verifying AI-generated content before acting on it
• AI features are provided as tools to assist — not replace — your judgement
• We may use third-party AI providers (e.g. Anthropic) to deliver these features

7. Intellectual Property

The Service, including its design, code, branding, and content (excluding Your Data), is owned by Sentia+ and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

8. Payment and Billing

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

• You agree to pay all fees associated with your chosen plan
• Fees are billed in advance on a recurring basis (monthly or annually)
• All fees are non-refundable unless otherwise stated or required by law
• We may change pricing with 30 days' notice

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Sentia+ and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sentia+ from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be resolved in the courts of Victoria, Australia.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
